Any Tax Gurus out there? Business Sale Question

I have some quick questions reference selling a small business. Anyone out tere ever dealt with this or have any insight. I want to do it 100% above board, but am leary of the tax consquences of the sale. PM or e-mail if you have any insight. Thanks.
