Stock options and restricted shares

Who Hoo!
Received a pleasant surprise this morning, the company started giving me stock appreciation rights (SARS) and restricted shares.
Wasn't expecting that.
The stock appreciation rights are basically a fancy way to say stock options
and the restricted shares are just that, a gift of shares that I can exercise after they fully mature in three years.
Looks like this will be a yearly thing that could add up to a pretty good chunk of change by the time I retire (if I stay working until 55).

I had stock options at my last job and did very well on them, hopefully these will do as well. These are considerably larger than the numbers I got before.

I probably need to talk to an adviser now to figure out how to keep from getting killed on taxes from these, I'm exposed and already getting nailed on taxes.
I can sit on the options (they don't expire until 2015) but the restricted shares turn into income as soon as they mature (1/3 per year).
Does anyone know if I can roll either of these plans into an IRA or similar? I have zero experience in this area.
