I have 2001 Boxster S. Once and a while 2ed gear will pop-out. Do you think this part will fit and help?

Depends on why it pops out. Gbox developed this detent (by just adding a stronger spring to the stock one and offering them on a core exchange basis) when the cars were new and popping out because 2nd gear had not been shimmed properly. Initially Porsche was refusing warranty and people were trying to avoid $3000 in work on a basically brand new car. Eventually Porsche woke up and started warrantying them.

If your car had the problem it basically always had the problem. If it didn't initially and the vehicle is higher mileage, it is an indication of worn and tired 2nd gear synchros not having the friction to keep it in gear. This detent will not "fix" that, and the only thing that will is a proper rebuild. Many on the internet have reported that it does hold the gear in more securely, but you still have worn out synchros. If you install this and keep driving a car like that, what you are going to do is beat up the teeth on 2nd gear and need a $500 replacement idler added to your rebuild cost when you eventually do it. It's a pay now or pay later sort of equation.

As for fit? Yes, it will fit in the G86/20, which is basically a G96 gearbox with a flipped ring and pinion for midengine application.
