Good Deal on 2003 330CI or no?

Need some advice/opinions on this car here...

It's listed at 31995.00. The mileage is kind of high and it really has 46000miles, not 43599. The warranty runs out at 50000miles.

I talked the guy down to 29000 and he said he would Certify the vehicle and include extended warranty (6yr/100000miles). Is 29k a good price? I think it's OK, but still think it can be worked down another 1000 or 1500.00. What do you guys think?

Not so bad at that price CPO'd. However I'd be aiming for around $27K for the rig.

E46 prices are dropping. I gave up selling my 2001 330 59k and gave it to my wife. I think 21500 is all I could get for it.
