Need help structuring a private equity deal

G9Girl is now about 6 months old and while we could shoestring it, the business model has evolved in a such a way that we need a serious first round if we want to accomplish our goals.

I was in NY yesterday meeting with friends of a friend, pitched the concept and they bought it, committing themselves and a loose consortium of high net worth individuals to bring in our first round goal if the business plan checks out and the deal is attractive.

The business plan will be done in about two weeks. We are a Mass. subchapter S corp.

Does anyone here structure deals for a living or know anyone who does? I need all kinds of advice and counsel on this.

File a Rule 506D with the SEC and have a business plan and you're done.
If you don't want to file, I have a template you can use.

Grant, these guys want a chunk of the company. Valuation will be based on projections. I haven't worked up the math model yet, but my gut says there's a good shot at profitability with just this round.

GFORCED, thanks for the info on the 506D. Please let me know more about this template.
