A lot depends on whether or not a cat is to be retained and how cost effective you want to be.

For a stock 3.2 a good cat bypass and free flow muffler will be be comparable to even a 42mm header/muffler setup at a fraction of the price

The header/muffler will usually have better #s but only at the very top, it will also be lighter and of course you will also need to address the heat implementation.
