Your price is extremely fair in this market. If clutch is still good then it doesn't need a clutch.
I personally think the IMS bearing issue is over blown. That and lots of the bearing sellers are saying it is a regularly replacement item (think I even saw one saying every 30k miles) BS. Not on a %10K car.
