The tools should be nearly the same, but CS2 will have greater depth, hopefully with B&W conversion you can fiddle with color channels and greatly influence how the B&W appears. Do all your adjustments with the highest-resolution original you have, then maybe save your work as a photoshop file as well as a JPEG so you can return to the un-compressed photoshop file later. Do any sharpening after you've re-sized the image rather than before.
