Odds are very, very good that your state enacted some version of the Uniform Commercial Code (which governs dealings between merchants/wholesalers as opposed to retail/consumer issues. Odds are medium pretty good the answer is in there.
A telephone call to the company lawyer and an hour of his time to research it will cost you a few hundred dollars.
