I don't understand how the problem goes beyond the tile/counter top. If your happy with the existing cabinets, why replace them? Even if you are not happy with them, you have options. Get the doors refinished and have veneers put on the boxes. Or paint them and get nice new hardware (handles, pulls, etc) to create a new look.
Can you post a photo of the 2 areas of concern?
