He'll get $42k for the car quickly if he puts it on the market. Split the kitty with him, move up to $44k and get the deal done.
He's taking less than he wants and you're paying slightly more than the car is worth. In 5 months you won't give a s$*t about the "extra" $2k.
Get a very thorough PPI.
